BiXBiT USA Inc.: Terms of Service

1. Introduction
Welcome to BiXBiT USA Inc. ("BiXBiT USA," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our products, services, websites, including bixbitusa.io (the "Site"), and communications, including SMS text messaging services. By using our services, you agree to these Terms.
2. SMS Messaging Program
2.1 Program Name and Description
Program Name: BiXBiT USA SMS Alerts.
Description: By subscribing, you consent to receive recurring text messages related to product updates, order and installation notifications, service alerts, promotional offers, and urgent communications.
2.2 Consent
By opting in (via form, checkbox, keyword, or other mechanism), you agree to receive SMS messages from BiXBiT USA Inc. and confirm ownership or customary use of the mobile number provided. Consent to receive SMS messages is not a condition of any purchase or service.
2.3 Frequency
You may receive up to 4 to 6 messages per month, though frequency may vary depending on service activity and product updates.
2.4 Opt-Out Instructions
You may cancel the SMS service at any time by texting "STOP." After sending "STOP," you will receive a one-time confirmation message. No further messages will be sent unless you rejoin.
2.5 Rejoin Instructions
To rejoin, opt in again using the same method (for example, texting "START" or submitting a form).

2.7 Carrier Liability Disclaimer
Carriers are not liable for delayed or undelivered messages.

Message and data rates may apply. Message frequency varies. For questions about your text or data plan, contact your wireless provider.
2.9 Privacy
Mobile information is handled as described in our Privacy Policy. Mobile phone numbers and SMS opt-in data and consent are not shared with third parties or affiliates for their marketing or promotional purposes.
3. Compliance and Legal
BiXBiT USA complies with CTIA guidelines, A2P 10DLC requirements, and all applicable federal and state laws.
By subscribing, you confirm you are at least 18 years of age.
4. General Terms of Use
You agree to use our services only for lawful purposes.
Unauthorized use, tampering, or abuse of our services may result in suspension or termination.
All products are sold with a standard manufacturer's warranty as outlined in your purchase agreement or product documentation. This warranty covers defects in materials and workmanship under normal use.
Except as expressly provided in the applicable warranty, BiXBiT USA disclaims all other warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.
4.1 Product-Specific Legal Agreements (Warranty and EULA)
Your purchase, installation, and operation of physical hardware units, as well as any software or embedded firmware provided by BiXBiT USA, are subject to additional specialized agreements incorporated into these Terms by reference:
Limited Warranty: Physical hardware products manufactured or supplied by BiXBiT USA (including but not limited to hydro racks, immersion racks, smart PDUs, containers, transformers, switchboards, and modular data centers) are governed exclusively by the BiXBiT USA Limited Warranty published at bixbitusa.io/warranty and any warranty terms in your purchase agreement or product documentation. The Limited Warranty controls all hardware defect claims, Return Merchandise Authorization (RMA) procedures, maintenance conditions, and physical coverage exclusions. Equipment made by other manufacturers, such as gas turbines, carries that manufacturer's warranty as set out in your purchase agreement.
End-User License Agreement (EULA): All software and custom firmware, including BiXBiT Prime firmware and BiXBiT AMS software ("SOFTWARE"), are licensed, not sold, under the BiXBiT USA End-User License Agreement published at bixbitusa.io/end-user-license-agreement. The EULA governs software licensing, operational limitations, and intellectual property rights.
Except as expressly provided in the applicable Limited Warranty or EULA, BiXBiT USA disclaims all other warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose. In the event of a direct conflict between these Terms and either the Limited Warranty or the EULA regarding their specific subject matter, the terms of the Limited Warranty or EULA shall control.
5. Website Content
The Site describes BiXBiT USA and its products and services for general information. Content may change without notice. Site descriptions of products, specifications, pricing, lead times, and availability are informational and create no binding offer or commitment; commercial terms exist only in accepted quotes and executed written agreements.
5.1 Intellectual Property
The content, design, graphics, and marks on the Site belong to BiXBiT USA Inc., its affiliates, or its licensors. You may view the Site and share links to it. You may not copy, scrape, republish, or misrepresent Site content without our written permission. Third-party names and marks referenced on the Site belong to their respective owners.
5.2 Third-Party Links
The Site may link to websites operated by others. We are not responsible for the content or practices of those websites.
6. Cookies, Analytics, and Advertising
The Site uses cookies, pixels, tags, and similar technologies, including analytics and advertising technologies from partners such as Google and ZoomInfo, to operate the Site, understand how it is used, measure our advertising, and show our ads to people who have visited the Site. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BiXBiT USA AND ITS AFFILIATES DISCLAIM ALL WARRANTIES REGARDING THE SITE, EXPRESS OR IMPLIED, AND SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR RELIANCE ON, THE SITE.
8. Governing Law
These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Tarrant County, Texas.

We may update these Terms from time to time. The effective date above reflects the most recent version. Continued use of our services after an update constitutes acceptance of the revised Terms.
